How We Think About It

Counsel is a capital decision.

No one takes money from whoever offers it first. You pick investors for what they bring past the check: the sector knowledge, the introductions, the experience of having sat through this exact problem before.

Legal counsel works the same way, and almost nobody treats it that way. The lawyer who drafted your operating agreement is not automatically the lawyer for a cross-border carve-out with a regulatory condition. Getting that match right changes the price, the timeline, and what you are still arguing about a year after closing.

Building and maintaining that network is the work. Knowing who to call, and knowing when not to call them, is what we are actually selling.

Michael Ni.

Michael Ni is the managing partner of Delphine Legal. A New York-admitted attorney, he has advised companies, founders, and investors on corporate and cross-border transactions since 2003.

His practice spans mergers and acquisitions, capital markets and securities, and finance. He began his career at leading international law firms, including Hogan Lovells and Clifford Chance, working on complex corporate transactions and government affairs matters.

That background is the reason the network works. Two decades of transactions is two decades of knowing which lawyers deliver under pressure and which ones bill through it.
